Membership registration, web access and booking for programmes, services, workshops, training and other events run by Professional Forums Ltd implies acceptance of these terms and conditions, whether online, face to face or of any kind.
These terms shall prevail over any terms put forward by you, unless we expressly agree to them in writing. No conduct by us, our employees or our associates shall be deemed to constitute acceptance of any terms put forward by you. Terms and conditions may be updated from time to time and will apply from the date of publication on our web pages. Any variations for specific events will be specified in the web materials or booking confirmation for the event or activity.
Privacy and ConfidentialityOur privacy policy is an integral part of our terms and conditions; acceptance of the products or services covered by this contract includes acceptance of the terms in the Privacy Policy. The Privacy Policy can be found
here. This has been updated in line with the General Data Protection Regulations in May 2018.
As part of membership, programme or event enrolment the organisation and nominated members within it are enrolled for our Best Practice Update Programme. As an independent industry body, this programme is provided free of charge and continues, whether individuals and companies are currently engaged in paid-for products or services. Individuals may opt out at any time; this may affect their ability to participate in particular programmes or membership roles.
Membership and SubscriptionsAccess to the website and other privileges will be dependent on payment of the applicable membership subscription at the time of subscribing with payment received within our 28-day terms. Individual membership and associate membership will reside with the individual, not the organisation. Corporate membership and associate membership will reside with the organisation.
Membership may be cancelled by Members/Associates at any time and Members/Associates understand that no refund of subscriptions will be given in any circumstances. Access and privileges may be withdrawn from Members/Associates who break these terms and conditions or bring The Forum into disrepute.
Bookings on any events for new members and renewing members are provisional until such times as payment is made in full.
Admin FeeAll bookings less than £750 (excluding VAT) may be subject to an administration fee of £50 + VAT. The latter fee is deductible for payments made within the payment terms listed.
Copyright and Intellectual PropertyAll intellectual property rights and know-how in or relating to programme or event design and materials, methods and the software used by us, whether subsisting prior to the event or generated or arising in the course of the event shall (with the sole exception of any intellectual property rights or know-how belonging to you prior to the event) remain or vest with us and our suppliers.
All material on the website or in any materials we provide is the intellectual property of The Forum (or the suppliers of the information where this is explicitly stated). Material on the members’ site or in learning and development or other programmes is made available purely for the benefit of Members/Associates for use within their own organisation. It is not available for commercial use with other organisations, or for publication for any reason without our prior written consent for which a fee may be payable. Where we provide materials to you that are copyrighted by The Forum, these may be copied or transmitted within your own organisation only, during the period of membership of the relevant programme or service and copied or transmitted to other members of their own organisation only, provided that the copyright restrictions are clearly shown and these restrictions are observed by all recipients. Material that is copyrighted by other parties may be transmitted or copied only as agreed by those parties. Forum material may be used by Associate Members only during their period of membership and with clients who are also members of The Forum.
Limitation of liabilityIf we breach the terms of an agreement, or you seek compensation and damages for any claim or claims arising out of any contract between us for whatever reason, your remedy will be limited to damages. Our liability will not exceed the cost of the fees received (if any), except in the case of injury or death to any person.
With the exception of the above paragraph, we shall not be liable to you, regardless of the form of action, whether in contract, tort (including negligence and breach of statutory duty), strict liability, or otherwise whatsoever:
- for any loss of profit, business, contracts or revenues
- for failure to achieve anticipated savings in costs
- for any special, indirect or consequential damage of any nature whatsoever arising directly or indirectly out of the services we offer, or of any error or defect caused by us, UNLESS you inform us in writing before you book a place on each event activity or programme, of any particular circumstances covered above. Each of the foregoing points is to be construed as a separate limitation (applying and surviving even if for any reason one or other of these points is held inapplicable or unreasonable in any circumstances) and shall remain in force notwithstanding termination of any contract between us.
No other statements on our website or other materials or email correspondence may be taken to imply any contractual obligation by The Forum. Information, whether on the web or in any other form, is provided for the use of Members and others at their own discretion. No liability will be accepted for the accuracy of any information or the consequences of its use by Members or others.
Nothing in this agreement or in any material, web page or any correspondence between us shall confer or purport to confer on any third party any benefit or any right to enforce any terms of this agreement.
Applicable Law
The contract between us is to be governed by and construed in accordance with English law and the parties agree to submit to the exclusive jurisdiction of the English Courts.
